On October 24, 2012, Lighthouse Import, LLC commenced a Chapter 11 bankruptcy proceeding. In re: Lighthouse Imports, LLC, Case No. 12-14459-KSJ (United States Bankruptcy Court, Middle District of Florida). Joseph J. Luzinski is the Chief Restructuring Officer of
Lighthouse (CRO).
Please be advised that on Monday, March 18, 2013, at 10:00 a.m., at the office of Latham Shuker Eden & Beaudine, LLP, Joseph J. Luzinski, as CRO of the above referenced debtor will conduct an auction sale of substantially all of the assets of the Debtor, a Toyota/Scion dealership in St. Augustine, Florida. The assets include new vehicles, used vehicles, parts inventory, miscellaneous inventory, fixed assets, and goodwill and intangibles. The auction does not include the real estate underlying the dealership. A hearing to approve the sale is scheduled for Tuesday, March 19, 2013 at 2:00 p.m.
The Debtor, through its CRO, has selected a Stalking Horse Bid with acceptable terms to purchase substantially all of the assets of Lighthouse for $18,700,000.00. Any competing bids/offers must commence at $19,200,000.00 price, in cash, include terms that are equal to or better than the terms within the Stalking Horse Bid and be received by March 15, 2013. Any party that desires to bid at the auction must post an earnest money deposit of $500,000.00 to be considered a qualified bidder. Bid increments will be $250,000.00. In order to qualify as a qualified bidder, the prospective buyer will be required to meet other criteria to be considered a qualified bidder at the auction, including approval by Southeast Toyota Distributors, LLC/Toyota Motor Sales, U.S.A, Inc./Toyota Motor Corporation which will require the submission of a dealer application by March 1, 2013.
Parties interested in receiving a bid package (which will include the form of the asset purchase agreement that is acceptable), conducting due diligence or viewing the assets and submitting a bid/offer for the assets should contact Joseph J.
