IN THE UNITED STATES BANKRUPTCY COURT FOR THE MIDDLE DISTRICT OF PENNSYLVANIA IN RE: CHAPTER 1 1 AUTOHAUS ACQUISITION, INC., CASE NO. 1-09-07158 Debtor This bankruptcy case Is jointly administered with that of Three Arrows Enterprises, Inc., Case No. 1-09-bk-07161-RNO. An individual wishing to examine the docket should access the docket of Three Arrows Enterprises, Inc. Notice to Interested Parties and Creditors of Autohaus Acquisition, Inc. Auction of Business Assets Free and Clear of Claims and Liens PLEASE TAKE NOTICE that Autohaus Acquisition, Inc. ("Autohaus" or "Debtor") hereby gives notice of the auction, bidding procedures, and Court hearing on a motion seeking authorization to sell Debtor's "Volkswagen" brand assets, assorted vehicles, and signage, free and clear of liens, claims, encumbrances, and other interests. Presently the initial bid for the assets is $450,000.00 for intangibles; $24,134.40 for Debtor's Volkswagen brand signage; 50% of Autohaus's original cost of all tangible assets other than motor vehicles; and a formula purchase price for vehicles, parts, and accessories. Further details are contained in Debtor's Assets Sale Motion filed on October 27,2009. Said bid is subject to higher or better offers made in compliance with certain bid procedures approved by the Court. A11 liens, claims, encumbrances, and other interests will attach to sale proceeds at closing, except for assumed Iiabilities as provided in the Asset Purchase Agreement on file with the Court. Bids and objections to the sale must be received by Autohaus's counsel (as set forth below) by 4:00 p.m. E.S.T. on November 17,2009. The sale auction is scheduled for November 19,2009, commencing at 9:30 a.m. E.S.T. in the hallway outside the Bankruptcy Courtroom, or in a designated conference room in such vicinity, Third Floor, Federal Building, Third and Walnut Streets, Hamsburg, Pennsylvania. More information regarding the assets to be sold, auction, bidding procedures, the sale in general, and objection procedures may be obtained from the case docket at the United States Bankruptcy Court for the Middle District of Pennsylvania, Case No. 1-09-07 161, or by contacting Autohaus's bankruptcy counsel.
